Terms of Service

These Terms of Service ("Terms") are an agreement between you and Second Chance Finds LLC, an Iowa limited liability company based in Cedar Rapids, Iowa ("Second Chance Finds," "we," "us," or "our"). They govern your use of SCF Virtual Assistant, our web app at scfvirtualassistant.com (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What the Service does

SCF Virtual Assistant is a virtual assistant for resellers. It lets you connect your eBay and Square seller accounts, then helps you view and manage your listings, inventory, catalog, orders, and pricing. It also uses artificial intelligence (AI) to suggest titles and descriptions, suggest prices, and clean up photos.

We may add, change, or remove features over time.

2. Who can use the Service

To use the Service, you must:

  • Be at least 18 years old and able to enter into a binding contract.
  • Use the Service for your own reselling business or personal selling activity.
  • Not be barred from using the Service under applicable law.

The Service is not intended for children, and children under 13 may not use it. If you use the Service on behalf of a business, you confirm you have authority to accept these Terms for that business.

3. Your account

  • Give us accurate information and keep it up to date.
  • Keep your login details secure. You are responsible for activity under your account.
  • Tell us right away at [email protected] if you think your account has been accessed without permission.

4. Connecting eBay and Square

  • Authorization. When you connect an eBay or Square account through OAuth, you authorize us to access and act on that account within the permissions you approve, including reading data and making changes (such as creating or updating listings, inventory, catalog items, or prices) when you direct the Service to do so.
  • You own the accounts. You must own the eBay and Square accounts you connect or be authorized to connect them.
  • Platform rules still apply. Your use of eBay and Square remains subject to their own user agreements and policies. You are responsible for following them, including rules about listings, pricing, item condition, prohibited items, and how you use buyer information.
  • Revoking access. You can disconnect an account at any time in the Service (if available), in your eBay or Square account settings, or by contacting us. See our Privacy Policy for details.
  • Not affiliated. SCF Virtual Assistant is an independent app. It is not owned, endorsed, or sponsored by eBay, Square, or Google. Those names are trademarks of their respective owners.
  • Platform availability. eBay and Square can change or limit their APIs at any time. We are not responsible if a platform change affects the Service.

5. AI features

  • AI suggestions (titles, descriptions, prices, and photo edits) are generated automatically using Google's Gemini API and may be inaccurate, incomplete, or inappropriate.
  • You are responsible for reviewing and approving all AI-generated content and prices before you publish or use them. You are responsible for making sure your listings are accurate, describe items truthfully, and follow the law and marketplace rules.
  • Price suggestions are estimates only, not guarantees of what an item will sell for.
  • Edited photos must still fairly represent the actual item.

6. Your content

  • "Your Content" means the photos, text, listings, and other information you upload or that is synced from your connected accounts.
  • You keep ownership of Your Content.
  • You give us a limited, non-exclusive license to host, store, process, copy, and display Your Content, and to send it to our service providers, only as needed to operate and provide the Service to you.
  • You confirm you have the rights to Your Content and that it does not violate the law or anyone else's rights.

7. Acceptable use

You agree not to:

  • Use the Service for anything illegal, fraudulent, or deceptive, including misleading listings or counterfeit goods.
  • Violate eBay, Square, or Google policies through the Service.
  • Use buyer information for anything other than managing and fulfilling your own orders.
  • Access or attempt to access accounts or data that are not yours.
  • Interfere with, overload, or disrupt the Service, or try to bypass its security or usage limits.
  • Reverse engineer, scrape, or copy the Service, except as the law allows.
  • Resell, sublicense, or provide the Service to others without our written permission.

8. Fees and payments

The Service may be offered free of charge or under paid plans. If we offer paid plans, the price, billing cycle, and any trial, renewal, cancellation, and refund terms will be shown to you before you buy. You will not be charged unless you agree to a paid plan. We may change prices for future billing periods with advance notice. Payments may be handled by a third-party payment processor, and you agree to that processor's terms.

9. Our intellectual property

The Service, including its software, design, and branding, belongs to Second Chance Finds and its licensors. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service. If you send us feedback or suggestions, we may use them without any obligation to you.

10. Third-party services

The Service relies on third-party services, including eBay, Square, Google (Gemini API), Supabase, and Cloudflare. We do not control these services and are not responsible for their availability, actions, or content. Your use of eBay and Square is governed by your agreements with them.

11. Privacy

Our Privacy Policy explains how we collect, use, and protect your information, how we handle OAuth tokens, and how to request deletion of your data. We do not sell your data.

12. Ending your use of the Service

  • By you. You may stop using the Service and delete your account at any time by contacting [email protected] or using any account deletion option in the Service.
  • By us. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, if required by eBay, Square, or law, or if we discontinue the Service. We will try to give notice when reasonable.
  • After termination. Your right to use the Service ends, and we handle your data as described in the Privacy Policy. Sections that by their nature should continue (such as Your Content license limits, disclaimers, limitation of liability, indemnification, and governing law) will continue.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not promise that the Service will be uninterrupted, error-free, or secure, that AI output will be accurate, or that using the Service will increase your sales or profits. You are responsible for your listings, prices, inventory, orders, and business decisions, and for keeping your own records.

14. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW:

  • SECOND CHANCE FINDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST SALES, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some places do not allow these limits, so some of them may not apply to you.

15. Indemnification

You agree to defend and hold harmless Second Chance Finds and its owner from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your listings or sales, or your violation of these Terms, the law, or eBay's or Square's policies.

16. Governing law and disputes

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-law rules. Any dispute related to these Terms or the Service will be brought only in the state or federal courts located in Linn County, Iowa, and you and we consent to those courts' jurisdiction. Before filing a claim, please contact us at [email protected] so we can try to resolve the issue informally.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and notify you through the Service or by email before the changes take effect. If you keep using the Service after changes take effect, you accept the updated Terms.

18. General

  • These Terms and our Privacy Policy are the entire agreement between you and us about the Service.
  • If any part of these Terms is found unenforceable, the rest stays in effect.
  • If we do not enforce a provision right away, we have not waived it.
  • You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
